The Company provides software development, AI chatbot integration, and automation consulting services. Specific deliverables, including tech stack (e.g., Node.js, NestJS, OpenAI) and functionality, will be outlined in the individual Project Proposal or Statement of Work (SOW).
Data Provision: Clients must provide all necessary business data and documentation required to train AI models (RAG).
Accuracy: The Client is responsible for the factual accuracy of the data provided to the Company for chatbot training.
Review: The Client must provide timely feedback during the 5–10 day development window to ensure project timelines are met.
Work Product: Upon full payment, the specific software code and chatbot configurations developed for the Client shall be owned by the Client.
Pre-existing Code: The Company retains ownership of any pre-existing code, libraries, or proprietary frameworks used during development.
Service Fees: Payments are based on the quoted price for the service or the hourly rate as specified at the time of engagement.
Late Payments: The Company reserves the right to suspend development or maintenance services for accounts with overdue balances.
Timeline: Standard delivery is estimated between 5–10 days, though complex integrations may require additional time.
Maintenance: The Company provides a 30-day maintenance period following project delivery to fix bugs or optimize bot performance. Any support required after this period may be subject to a separate service agreement.
The Company utilizes third-party providers (e.g., OpenAI, Pinecone, AWS). While we strive for 100% accuracy through RAG architecture, the Company is not liable for service outages from these third parties or for AI "hallucinations" resulting from inaccurate client-provided data.
Both parties agree to protect and keep confidential all proprietary information, including business data, trade secrets, and technical architectures, shared during the duration of the project.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States.
